Mr. Pratap Kishan read law at University of London and graduated in 1996. Upon graduation, he did the Bar Finals Examination and attained his Barrister-at-Law qualification from the Honourable Society of the Middle Temple in 1998. He was subsequently called to the Singapore Bar in August 1999. He has been in active practice as an Advocate and Solicitor in Singapore for the past 18 years.

When You Start

How much is required to participate in a property project?

We recomend you to start with your comfortable budget from S$25,000 and above.

If there is no personal bank loan, how can the property be brought?

There is no personal bank loan because all the money required to purchase the property is collective funded by the participants of the Property Project.

This also means participants’ profits is maximized as there will be no bank fees and interests to pay.

Can I participate in more than one Property Project at the same time?

Yes, you can participate in any number of Property Projects at any point of time.

What is required to sign-up?

Just a valid email address and a password of your choice are required.

When I sign-up, do I automatically subscribe to any service or participate in any Property Project?

You don’t automatically participate in any Property Project when you register an account.

When You Explore Property Projects

What is a Property Project?

A Property Project is an invitation to participate in the purchase, management and sales of a property that meet the stringent quality checks implemented by our company.

The Property Project will include property details such as :

  • The location
  • The size
  • The connectivity and accessibility
  • The condition of tenancy
  • The purchase price relative to the market

Who creates the Property Projects?

Property Projects are curated by us to ensure that our participants are enjoying the highest quality properties and opportunities.

How can I purchase the property mentioned in the Property Project?

You cannot purchase the property as we are not selling properties. We are providing the services & solutions for more than one person to participate in the purchase, management and sales of the property.

Can I view the property mentioned in the Property Project?

It may be possible to view the property in some instances. But administratively, it would be impossible for us to serve individual viewing.

Do I own the property if I am a participant of the Property Project?

The property is securitized by a Company registered in Singapore which you will be a shareholder of the company. So Yes, you are a co-owner of the property.

The Company is a holding company for the property and does not have other business operations. Each Company only holds one property and its sole obligation is to manage the property & transfer all benefits of rental income and sales benefits less expenses to its shareholders.

The Company Registration Agreement governs that the Participation Sum you vested can only be used to purchase the property and that all benefits less expense goes to the shareholders.

A reputable Singapore Law Firm acting as Escrow agent will govern when your Participation Sum be transferred to the Company for the purchase of the identified property.

What are “Rewards” in Property Projects?

Rewards are incentives given to participants who meet the conditions of the reward. Reward conditions can be based on amount of Participation Sum or how soon the participants join the project. Some Property Projects will have rewards while others will not.

Does Property Project have a limited participation period?

The Property Project may have a limited participation period open for participation or until the requested Target Funding Sum is fully vested by participants.

Can I still participate in a Property Project that is closed or 100% of Target Funding Sum is vested?

It may be possible to participate in the Property Project but is subject to terms & conditions. Write to us using the contact form if you want to participate in closed projects.

How can I ask questions about the Property Project and the target property?

When You Pledge Participation Sum

Why am I pledging in Property Project?

We are offering participation in Property Projects. A Property Project is an invitation to participate in the purchase, management and sales of a property that meets our stringent quality checks.

When you pledge, you are pledging your participation in your selected Property Projects with your Participation Sum.

It is worth to note that we are not selling properties and there is no shares of equities, securities, debts or bonds offered.

How do I participate in the Property Project?

To become a participant of the Property Project, you have to

  1. pledge your Participation Sum to the project of your choice;
  2. sign the Company Incorporation Agreement and Escrow Agreement online and
  3. transfer your Participation Sum the designated bank account of our Escrow Agent provided by a reputable Singapore Law Firm.

What is Participation Sum?

Participation Sum is the amount you pledge to join the project. This amount will determine the percentage of your participation in the project against the total participation sum raised.

You should transfer your Participation Sum to designated bank account of our Escrow Agent provided by a reputable Singapore Law Firm within 14 Calendar Days after you sign the Company Incorporation Agreement and Escrow Agreement online to confirm you participation in the Property Project.

If you wish to withdraw from the participation of the project within 14 Calendar Days of signing the Company Incorporation Agreement and Escrow Agreement, any Participation Sum transferred will be returned to you less bank transaction fees & reasonable expenses if any.

Can the Participation Sum be refunded if I wish to withdraw my participation in the Property Project?

You may withdraw your participation to the Property Project within 14 Calendar Days upon the signing of Company Incorporation Agreement and Escrow Agreement.

If you have transferred your Participation Sum to our Escrow Agent, we will return your Participation Sum less bank transaction fees & reasonable expenses if any.

Past the 14 Calendar Days after signing of Company Incorporation Agreement and Escrow Agreement, the termination terms of the Company Incorporation Agreement shall apply.

What is Company Incorporation Agreement?

The Company Incorporation Agreement governs the legal registration of your shareholding in the holding company securitizing the property.

It also governs how the property will be managed and sold. It protects your interests in the property. Without a signed Company Registration Agreement, you can’t be a participant to the project.

Some of the key terms are:

  • The Company cannot have other business operations
  • The Company can only securitize one property
  • The Company can purchase, manage & sell the property based agreed conditions elected by the participants.
  • The Company’s sole obligation is to manage the property & transfer all benefits of rental income and sales benefits less expenses to the participants.
  • The roles & responsibilities of the parties.
  • Withdrawn & termination of the participants.

The Company Incorporation Agreement is very comprehensive. We encourage participants to review the agreement carefully.

In event that you wish to withdraw your participation from the project, you can do so within 14 Calendar Days after signing the Company Incorporation Agreement.

What is an Escrow Agreement?

The Escrow Agreement governs how and when your Participation Sum will be transferred to the holding Company which securitized the property to purchase the target property.

The Escrow Agreement is the terms of agreement between the holding Company which securitized the property, the participants of the Property Project and the Escrow Agent.

The Escrow Agent is a reputable Singapore Law Firm which has obligation to make sure that the terms of the Escrow Agreement are carried out before your Participation Sum is transferred to the holding Company.

Some of the key terms in the Escrow Agreement are:

  • When to transfer the Participation Sum

Can I have a sample of the Company Incorporation Agreement & Escrow Agreement?

The actual Company Incorporation Agreement and Escrow Agreement are available for your complete review when you pledge your participation to the project. You have up to 14 Calendar Days to review the agreements carefully before you proceed.

Should you decide not to proceed with the project, you can withdraw your participation by not transferring your Participation Sum to our Escrow Agent within 14 Calendar Days.

If we don’t receive your Participation Sum within 14 Calendar Days after you sign the agreements, your Company Incorporation Agreement and Escrow agreement will be invalid and your participation to the Project withdrawn.

Can I withdraw my participation to the project?

Yes, you can withdraw from the project.

Within 14 calendar days of the signing of the Company Incorporation Agreement & Escrow Agreement, you can withdraw from the project anytime and any Participation Sum transferred to our Escrow Agent will be returned to you less bank transaction fees.

Beyond 14 calendar days of the signing of the Company Incorporation Agreement & Escrow Agreement, the termination terms of the Company Registration Agreement shall apply.

Am I a participant to the Property Project after I signed the Company Incorporation Agreement & Escrow Agreement?

To become a participant of the Property Project, you have to

  1. pledge your Participation Sum to the project of your choice;
  2. sign the Company Incorpoation Agreement and Escrow Agreement online and
  3. transfer your Participation Sum the designated bank account of our Escrow Agent provided by a reputable Singapore Law Firm.

What happens if I did not transfer my Participation Sum to Escrow Agent?

To become a participant of the Property Project, you have to

  1. pledge your Participation Sum to the project of your choice;
  2. sign the Company Incorporation Agreement and Escrow Agreement online and
  3. transfer your Participation Sum the designated bank account of our Escrow Agent provided by a reputable Singapore Law Firm.

If we don’t receive your Participation Sum within 14 Calendar Days after you sign the agreements, your Company Incorporation Agreement and Escrow agreement will be invalid and your participation to the Project withdrawn.

When You Transfer Participation Sum

How do I transfer my Participation Sum?

After signing the Company Registration Agreement & Escrow Agreement, you may credit your Participation Sum to the bank and account number of the Singapore Law Firm handling the Escrow service as stated in the Company Registration Agreement within 14 Calendar Days.

Is my money safe with you?

We work hard to be transparent, honest and operate with highest integrity. We understand that it is not easy to part with your hard-earned money.

Your money is safe because we have implemented several measures.

First, you will be transferring your money to a reputable Singapore Law Firm handling the Escrow service. Before you make the transfer, an Escrow Agreement is elected to govern how your money will be drawn down for the purpose as intended in the Company Incorporation Agreement. As the Escrow Agent, the appointed Singapore Law Firm has to fulfil its obligations and responsibilities as stated in the Escrow Agreement. It is a legal binding responsibility. You can read more about “What is an Escrow Agreement?”.

In additions, the Company Incorporation Agreement governs how your money is used. Primarily, your money will be used towards the purchase & management of the target property and benefits of the sales will be credited you less expenses. It is very important to us that the Company Incorporation Agreement is adhered to. You can read more about “What is a Company Incorporation Agreement?”

Within 14 calendar days of the signing of the Company Incorporation Agreement and Escrow Agreement, you can withdraw from the project anytime and any Participation Sum transferred to our Escrow Agent will be returned to you less bank transaction fees & reasonable expenses if any.

Beyond 14 calendar days of the signing of the Company Incorporation Agreement and Escrow Agreement, the termination terms of the Company Incorporation Agreement shall apply.

What happens after I transferred my Participation Sum?

Inform us when you complete the transfer and we will send you an acknowledgement if your money is received. When all the money is received from all participants, we will complete the purchase of the property, register the company with you as one of the shareholder and complete the securitization of the property under the holding company.

We post important progress of the purchase of property, management of the property till the sales of the property updated on the Property Project’s Progress. You are encouraged to visit us regularly to be updated of the progress.

What if you are unable to raise 100% of the Target Funding Sum?

We are confident that we will be able to raise 100% of the Target Funding Sum. In event that we can’t, we will refund your Participation Sum less bank transaction fees.

When Purchasing Property

When does the purchase of property start?

The purchase of the property will start once 100% of the Target Funding Sum is received from all participants.

How am I informed of the progress?

We post important progress of the purchase of property, management of the property till the sales of the property on Property Project’s Progress. You are encouraged to visit us regularly to be updated of the progress.

Do I have to do anything when the property is sourced or purchased?

No. We will handle all the difficult tasks to ensure the property is properly securitized with the holding company that you are a shareholder to.

When Receiving Income

How do I collect income?

We will disburse your share of the income governed in the terms of the Company Incorporation Agreement to your designated contact details maintained with us.

As example on the terms on distribution of income, the income collected from the rental of the property may be distributed to the participants every 6 months.

This is only an example and the actual terms for each Company Incorporation Agreement may be different.

It is very important that you maintain up to date contact information with us in your “My Account” so that we can distribute the income to you.

How is income shared among the Participants?

Based on the amount of your Participation Sum against the Total Participation Amount for the project.

Do I have to report the income to the tax authority?

We recommend you seek professional tax consultants on this matter.

What about income withholding tax?

Any withholding tax or taxes required by the authorities will be deduced from the income of the property.

When Selling Property

When will sales of the property be triggered?

The sales of the property is governed by the terms of the Company Incorporation Agreement. The conditions of sales are clearly written to determine when the sales of the property be triggered. We will manage the project for as long as the Company Incorporation Agreement is enforced.

As an example, the sales of the property will be triggered when the property has appreciated in value by at less 25% and a few interested buyers are found.

This is only an example and the actual terms for each Company Incorporation Agreement may be different.

It is very important that you maintain up to date contact information with us in your “My Account” so that we can distribute the sales benefits to you.

How is the sales price decided?

The sales price is determined by market forces. We will put up as high as possible to fetch the best price. We will close the sales with buyer who can offer the best terms meeting the conditions of sales in the Company Incorporation Agreement.

How is the sales process handled?

The sales will be handled by local licensed property company & legal professions. The sales completion will comply with local regulations to protect the interests of all parties.

What about capital gain tax?

If capital gain tax is required, the nett benefits from the sales of the property will deduct the capital gain tax required by the local authority where the property is registered.

When Receiving Sales Benefits

When can I collect the benefits of the sales?

The disbursement of nett benefits of the sales of the property is governed by the terms of the Company Incorporation Agreement.

The usual practice is within 1 month upon receiving the final payment from the buyer. We will disburse the nett benefits to your designated contact details maintained with us.

It is very important that you maintain current contact information with us in your “My Account” so that we can distribute the sales benefits to you.

How are the benefits of the sales shared among the Participants?

Based on the amount of your Participation Sum against the Total Participation Amount for the project.

Do I have to report the capital gain to the tax authority?

We recommend you seek professional tax consultants on this matter.

Do I have further interest in the project after I received the benefits of the sales?

No. The Company Incorporation Agreement will be terminated, The company will be liqudated and you will not have further interest in the project after you received the benefits of the sales.

Others

How different is your service from crowdfunding?

We execute the agreement between the participants of the project as independent party. And we maintain relationship with the participants until the Company Incorporation Agreement is terminated. In our case, it involve the purchase, management & sales of the property.

Are you regulated by Monetary Authority of Singapore?

We are not required by Monetary Authority of Singapore to operate under any licenses.

While we are not regulated by Monetary Authority of Singapore, we practise & implement measures to protect your interests. For example,

  • Your money is transferred to an Escrow Agent performed by reputable Singapore Law Firm.
  • You can withdraw from the project participation within 14 calendars days and your Participation Sum returning to you.
  • We explain clearly potential risks that you may experience before you participate in the property projects.
  • Agreement terms are transparent & fees are disclosed upfront.

How do you charge your service?

Our service fees are clearly stated in the Company Incorporation Agreement. You can review the fees before you confirm your participation in the Project Project.

As an example, our fees will have

  • Project Setup Service Fee – for the successful funding of the project and purchase of the target property.
  • Asset Management Service Fee – for the management of the acquired property.
  • Sales Management Service Fee – for handling the sales of the acquired property.

Are there other expenses?

We follow approved local regulations and legal process to acquire, manage and sell the property. Hence, the expenses will be the same as those that you would normally purchase, manage and sell the property on your own.
